Disclaimer: Buyer is
not responsible to pay any fee unless agreed
to in writing. This agreement only applies
to properties presented on the www.1031tax.com website
or specifically e-mailed to Buyer. Upon successful
closing, 1031tax.com may receive a fee from
the Seller, Listing Broker, Lender or Qualified
Intermediary. Buyer or 1031tax.com may terminate
this agreement for any (or no) reason upon
five days prior notice to the other party,
provided that any fees earned by 1031tax.com
prior to the receipt of such notice shall
be paid.
* Brokers acknowledge and
accept that all compensation they receive
shall be paid directly by their clients. Brokers
shall not be compensated by 1031tax.com or
the seller in any transaction. When
a Broker finds a property through 1031tax.com,
Broker shall represent their buyer and
1031tax.com shall only participate in a
referring capacity and shall be paid a “referral
fee” from seller. These terms
are effective as of 9/24/07.
1031tax.com receives and provides "for sale" property information from
real estate brokers, developers and sellers. 1031tax.com has not verified the
information provided and makes no guarantee, warranty or representation about
its accuracy or availability. 1031tax.com does not represent Buyer or Seller.
1031tax.com does not provide financial planning, accounting, due diligence, engineering,
tax, legal or Qualified Intermediary services. Buyer and his or her tax, legal
and financial advisors are advised to: (i) independently confirm the accuracy
of all information (ii) investigate the property to determine suitability for
investment and (iii) independently and diligently perform contractual obligations.
It is Purchaser's responsibility to meet his or her contractual deadlines contained
in any contract(s) to purchase property. 1031tax.com reserves the right in its
sole discretion to not submit offers to purchase property where it deems appropriate.
Buyers, sellers and other real estate brokers agree to indemnify and hold 1031tax.com
harmless from any and all monetary or other damages caused from a delayed, failed
or unsatisfactory transaction. This Agreement is made in the State of Colorado
and shall be governed by Colorado law. This Agreement shall be binding upon,
and inure to the benefit of, the parties and their respective heirs, representatives,
executors, successors and assigns and Purchaser hereby consents to Venue and
Jurisdiction of Colorado Courts to resolve any and all disputes arising under
this agreement . This Agreement contains the entire agreement between the parties
and supersedes all prior agreements, promises and representations. This Agreement
shall not be modified or amended except in writing signed by both parties. 1031tax.com

All references made herein to either 1031tax.com or REF include Alan Fruitman
